These Terms of Service ("Terms") govern your use of Framelink Media's website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Framelink Media is a professional video editing and content creation services provider operating in San Fernando, La Union, Philippines, and is subject to the laws of the Republic of the Philippines.

2. Services Offered

Framelink Media provides the following professional services:

• Video Editing Services: Long-form and short-form video editing for YouTube, social media, and business content
• Reels & Short-Form Content: Instagram Reels, TikTok videos, and YouTube Shorts optimization
• Graphic & Thumbnail Design: Custom graphics, thumbnails, and visual content creation
• Social Media Management: Content planning, scheduling, and performance tracking
• Post-Production: Color grading, sound design, and video enhancement

3. Client Responsibilities

As a client, you agree to:

• Provide accurate project details, requirements, and high-quality raw materials
• Ensure you have the legal right to use all materials provided to us
• Make timely payments as agreed upon in the project contract
• Provide clear and constructive feedback within agreed timelines
• Respect our team's working hours and communication boundaries
• Communicate professionally and respectfully with all team members
• Respond to project updates within reasonable timeframes

4. Project Workflow and Timelines

4.1 Delivery Timeframes

Project turnaround times are estimated and communicated at the start of each engagement. Actual delivery times depend on project complexity, scope, and client responsiveness. Delays caused by late feedback or material submissions may extend the timeline accordingly.

4.2 Revisions

Each project includes a specified number of revision rounds as agreed in the project scope. Revisions must be submitted within the agreed timeframe and remain within the original project scope. Additional revisions beyond the agreed limit may incur extra charges.

5. Payment Terms

• Payment terms will be outlined in each service agreement or contract
• A deposit may be required before work begins on certain projects
• Final deliverables will be released upon receipt of full payment
• Late payments may result in project suspension or additional fees
• All payments are in Philippine Peso (PHP) unless otherwise agreed
• Invoices must be settled within the agreed payment period

Accepted Payment Methods: GCash, Bank Transfer, PayPal, or other agreed-upon methods compliant with Philippine banking regulations.

6. Intellectual Property Rights

6.1 Client-Provided Materials

You retain full ownership of all raw materials and assets you provide. You grant us a license to use these materials solely for completing your project.

6.2 Completed Work

Upon full payment, you receive complete ownership and commercial usage rights to the final deliverables. We retain the right to display completed work in our portfolio and marketing materials unless a confidentiality agreement is signed.

6.3 Portfolio Use

We may showcase completed projects and testimonials on our website, social media, and promotional materials. If you require confidentiality, please notify us in writing before the project begins.

7. Confidentiality

We respect the confidentiality of all client projects and sensitive information. We will not disclose project details, business information, or client data to third parties without your consent, except as required by law under the Republic of the Philippines.

For projects requiring enhanced confidentiality, Non-Disclosure Agreements (NDAs) are available upon request.

8. Professional Standards

Framelink Media maintains a professional and respectful work environment. All clients and team members are expected to communicate professionally and courteously at all times.

9. Cancellation and Refunds

• Clients may cancel a project at any time by providing written notice
• Deposits paid are non-refundable but may be applied to future projects within a specified period
• Work completed up to the cancellation point will be billed accordingly
• Refunds for completed work are evaluated on a case-by-case basis
• Force majeure events may affect project timelines without financial liability

10. Quality Standards

All completed projects meet our internal quality standards for technical specifications, client requirements, and brand guidelines. Final deliverables are provided in agreed formats via secure cloud storage and remain available for a specified period after delivery.

11. Limitation of Liability

Framelink Media is not liable for:

• Indirect or consequential damages arising from our services
• Delays caused by third-party providers or circumstances beyond our control
• Copyright infringement resulting from client-provided materials
• Data loss due to client device or storage failures
• Platform performance or algorithm changes after content delivery
• Business outcomes or revenue targets tied to delivered content

Our maximum liability is limited to the total amount paid for the specific project in question.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these Terms or our services shall be resolved through:

1. Good Faith Negotiation: Direct communication to resolve issues amicably
2. Mediation: If negotiation fails, parties agree to attempt mediation
3. Legal Proceedings: Disputes will be resolved in the appropriate courts of La Union, Philippines

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
